Board Votes for New Technology to Support Chapters - August 7, 2020

CSEA’s first Board and Committee meetings of the 2020-2021 governance year were held July 19-20. What follows is a brief summary of the highlights.

On Sunday, the Board elected Michelle Tanner, EA and Chris de Lorimier, EA to serve on the Executive Committee.The Board and guests in attendance then moved into break out rooms to discuss several strategic issues.

On Monday, the Board elected the following individuals to serve on the 2020-2021 Nominating Committee:

  • Chris de Lorimier, EA, Member
  • Woody Ford, EA, Member
  • Don Stacy, EA, Member
  • Jun Watanabe, EA, Member

Two motions were made by the Finance and Budget Committee. The first motion moved that the Board of Directors authorize the Treasurer to borrow up to $100,000 if needed during the 2020-2021 fiscal year in accordance with Board Policy 2.6.7.3. This would allow the Treasurer to offer notes for cash loans from the Chapters, or other sources, up to a specified maximum should, in the Treasurer’s sole discretion, such funding be deemed desirable in order to ensure the Society’s financial strength.

The second motion moved that the Board of Directors authorize the EVP to execute loan documents for a $25,000 SBA loan under the EIDL program. Both motions were approved.

The Board approved a motion made by the Audit Committee to switch from an annual audit to an annual review effective with the June 30, 2020 fiscal year end. John Waddell & Company was approved to perform the annual review for the fiscal years ending June 30, 2021-2023.

Lastly, a motion was made by the Executive Committee to authorize the EVP to purchase a learning management system. This motion was approved by the Board for an expenditure of $15,000 from the capital expenditure reserve fund for the purchase of an LMS before June 30, 2021.
